1. Acceptance of Terms
By accessing or using WinOnUp (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.
2. Description of Service
WinOnUp is a software application designed to assist Upwork freelancers by:
Searching and tracking job opportunities
Generating AI-powered proposal drafts
Providing analytics and performance tracking
Organizing proposal workflow
WinOnUp is an independent tool and is not affiliated with, endorsed by, or sponsored by Upwork.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
One person or entity may maintain only one account.
4. Subscription and Billing
Pricing
WinOnUp is offered as a monthly subscription. Current pricing is displayed on the website and may change with 30 days’ notice.
Free Trial
New users may receive a trial period. No charge occurs until the trial ends. You may cancel before the trial ends to avoid charges.
Billing
All payments are processed by Stripe. By subscribing, you also agree to Stripe’s terms and policies.
Subscriptions are billed monthly in advance. Failed payments may result in service suspension.
Cancellation
You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.
5. Upwork Integration
You must have a valid Upwork account to use integration features.
You authorize WinOnUp to access your Upwork data via the Upwork API on your behalf. You remain responsible for complying with Upwork’s Terms of Service and API policies.
WinOnUp:
Accesses only data authorized by you
Caches Upwork content temporarily in compliance with API rules
Does not use Upwork data for advertising or resale
Upwork may modify or restrict API access at any time. WinOnUp is not responsible for such changes.
WinOnUp does not submit proposals, messages, or actions on your behalf. All activity on Upwork must be performed manually by you.
6. AI-Generated Content
WinOnUp uses OpenAI to generate proposal suggestions.
AI-generated content is provided as a starting point only. You are solely responsible for reviewing, editing, and submitting any proposal content.
WinOnUp makes no guarantees regarding the effectiveness, accuracy, or success of AI-generated proposals.
7. Acceptable Use
You agree not to:
Violate Upwork’s policies
Use the Service for illegal purposes
Circumvent usage limits or protections
Attempt to reverse engineer the Service
Share account access with others
Use automated systems to abuse the Service
8. Fair Use and Usage Limits
To ensure reliable service for all users, WinOnUp enforces reasonable daily usage limits on proposal generation and related features. These limits may change at our discretion to prevent abuse.
9. Intellectual Property
WinOnUp and its original content remain the property of WinOnUp. Your proposals and data remain your property. AI-generated suggestions may be used freely by you.
10. No Guarantees
WinOnUp does not guarantee interviews, contracts, earnings, or success on Upwork.
11. Service Availability
The Service is provided “as is.” We do not guarantee uninterrupted availability or error-free operation.
12. Limitation of Liability
To the maximum extent permitted by law, WinOnUp shall not be liable for:
Proposal outcomes
Upwork account actions
Changes to Upwork’s platform or policies
Service interruptions
AI-generated content accuracy
Maximum liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold WinOnUp harmless from claims arising from your use of the Service or violation of these Terms.
14. Termination
We may suspend or terminate your account for violations. You may terminate at any time. Data handling upon termination is governed by our Privacy Policy.
15. Governing Law
These Terms are governed by the laws of the State of Maryland, United States.
16. Changes to Terms
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the revised Terms.
