Terms of Service

WinOnUp is a software-as-a-service platform that helps freelancers find jobs on Upwork, generate AI-assisted proposal drafts, track applications, and analyze performance. The Service is a productivity and writing assistance tool — it does not submit proposals, send messages, or take any automated action on Upwork on your behalf.

You must be at least 18 years old and have a valid Upwork account to use the Service. By agreeing to these Terms, you represent that you meet these requirements.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@winonup.com if you suspect unauthorized access.

• Free trial: New accounts receive a 14-day free trial with full access to all features. No payment information is required to start a trial.
• Subscription: After the trial period, continued access requires a paid subscription at $14.99/month (or the current price displayed at checkout).
• Billing: Subscriptions are billed monthly in advance. Payments are processed by Stripe.
• Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then. No refunds are issued for unused portions of a billing period.
• Price changes: We will provide at least 30 days' notice before changing subscription pricing.

WinOnUp is designed to be used in compliance with Upwork's Terms of Service. You are solely responsible for ensuring your use of the Service complies with Upwork's policies. Specifically:

• You must review all AI-generated proposal drafts before submitting them on Upwork
• You may not use the Service to submit proposals, send messages, or perform any action automatically on Upwork without your direct manual involvement
• You are responsible for any consequences arising from your use of the Service in connection with your Upwork account

We make no warranty that the Service will always be permitted under Upwork's Terms of Service, which are controlled by Upwork and subject to change without notice to us.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use automated tools to scrape or extract data from the Service
• Resell or sublicense access to the Service without our written permission
• Introduce malware, viruses, or other harmful code into the Service

The Service, including its design, code, and content, is owned by WinOnUp and protected by intellectual property laws. You retain ownership of any content you input into the Service. AI-generated proposal drafts are provided as suggested content for your review — you are responsible for any proposals you submit on Upwork.

The Service is provided “as is” without warranties of any kind, express or implied. We do not guarantee that:

• AI-generated proposals will result in replies, interviews, or contracts
• The Service will be uninterrupted or error-free
• Job listings surfaced by the Service are current, accurate, or available

To the maximum extent permitted by law, WinOnUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, loss of Upwork account access, or business interruption. Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

We may suspend or terminate your account at any time if you violate these Terms or engage in activity that we determine, in our sole discretion, is harmful to the Service or other users. You may terminate your account at any time by canceling your subscription and requesting account deletion.

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
